Georgia Country IE for Accountants and Finance Professionals: Best Structure

For Georgia Country IE accountants, finance contractors and fractional CFOs working solo, the best structure is usually an individual entrepreneur with Small Business Status. In Georgia (the country), that status taxes turnover at 1% up to an annual cap. It fits one person billing foreign clients for bookkeeping or reporting work. It fits teams, audit practices and licensed advisory work poorly.

The math is easy to show a client or a spouse. A finance contractor invoicing 4,000 EUR a month pays about 40 EUR of Georgian tax on that income. No dividend layer sits on top when you move the money to your personal account.

The fine print matters more for finance people than for most freelancers. Your activity description, your client mix and your liability exposure decide whether the 1% route actually holds up.

Tax residency is a separate test. Spending 183 days in Georgia within any 12-month period generally makes you a tax resident. Registering an IE does not change that count.

What an Individual Entrepreneur in Georgia Means for a Finance Professional

An individual entrepreneur in Georgia is you, registered as a business, with no separate legal entity. Registration at a Public Service Hall usually completes within 1-2 business days. The Small Business Status application follows through the Revenue Service.

Registration and Status Are Two Separate Steps

Many newcomers assume the 1% rate comes automatically. It does not.

  • IE registration: filed with the National Agency of Public Registry (NAPR) through the Public Service Hall. You receive a tax ID linked to rs.ge.

  • Small Business Status: a separate application to the Revenue Service, normally decided within a few business days.

  • Without the status: IE profit falls under the standard 20% personal income tax.

Our step-by-step guide to IE registration and the 1% regime covers the filing sequence in detail.

How the 1% Is Calculated

The base is gross turnover, not profit. Software licences, CPD courses and professional indemnity insurance do not reduce it.

You declare and pay monthly, by the 15th of the following month. The annual cap has historically been 500,000 GEL (about 160,000 EUR at early-2026 rates). Income above it is taxed at a higher rate, and repeated breaches can cost you the status. Confirm the current threshold and overage rules on rs.ge before relying on them.

What the Status Does Not Cover

  • Employment salary: taxed through the employer's payroll at 20%.

  • Investment income: dividends, interest and asset sales follow their own rules.

  • Excluded activities: income from activities outside the permitted list.

Which Finance Work Fits Small Business Status in Georgia

The activity you declare at registration controls your eligibility. The Revenue Service checks it against a list of activities excluded from Small Business Status. These include work that needs a licence or permit and certain regulated professional services.

The Activity Description Decides Eligibility

Statutory audit has historically sat on the excluded side. Broad labels like "consulting" can also draw scrutiny, because some advisory services fall outside the regime. Precise wording works better:

  • "Outsourced bookkeeping services"

  • "Preparation of management accounts"

  • "Financial modelling and forecasting"

  • "Finance training and course delivery"

Client Patterns That Usually Work

A Ukrainian accountant in Batumi illustrates the clean case. She runs bookkeeping for six Polish e-commerce shops at about 2,500 EUR a month in total. Her IE and status were active within 7 business days. Her monthly Georgian tax is roughly 25 EUR.

Other patterns that tend to fit:

  • Month-end close for one or two foreign companies under a service contract

  • FP&A projects for startups, billed per model or per quarter

  • Training work for finance teams abroad

Patterns That Need a Closer Look

  • One dominant client setting your hours: the client's own country may treat you as an employee, whatever Georgia says.

  • Handling client funds: paying suppliers from your own account moves toward regulated activity.

  • Tax advice signed in your name: professional liability claims hit your personal assets as an IE.

For the setup itself, our IE registration and Small Business Status service handles the activity wording with you before filing.

When the LLC Wins on Net

Run the numbers on your own figures. A finance contractor turning over 150,000 GEL as an IE pays 1,500 GEL in a year. The same person through an LLC, distributing 100,000 GEL of profit, pays far more once corporate and dividend tax stack.

The LLC pulls ahead in three specific situations:

  • Reinvestment: you plan to keep profit inside to hire or buy a practice. Retained earnings carry 0% corporate tax.

  • Growth past the cap: turnover heading toward the IE limit within 2-3 years.

  • Partners: a second accountant wants equity. An IE cannot take a co-owner.

Our LLC registration service covers remote setup through power of attorney if you are not in Tbilisi.

Where the IE Is the Wrong Choice

Skip the IE if you sign statutory audits or need a professional licence for your core work. That activity fails the status test from day one.

Skip it also if you give tax or investment advice with real claim exposure. A single negligence claim from a client can reach your apartment, your savings and your car. An LLC with proper engagement letters puts a wall between the business and your family's assets.

A third case is quieter. If your clients are large European groups, their procurement teams often prefer contracting with a company. Some refuse to onboard sole traders at all, which costs you the contract before tax even enters the picture.

Where Your Finance Income Is Taxed as a Georgia IE

The 183-day test decides most outcomes here, not your registration papers. Georgian tax residency generally requires 183 days in Georgia within any continuous 12-month period. Registering as an Individual Entrepreneur does not make you resident. Days on the ground do.

Residency decides who taxes you first

Consider a Polish management accountant who registers her IE in March 2026. She spends only 90 days in Tbilisi that year and keeps her flat in Warsaw. Poland can still treat her as resident and tax her worldwide income. Her 1% Georgian payment becomes a foreign tax credit question, not a clean exit.

The fix is physical presence plus a real life in Georgia. Our guide to Georgia tax residency requirements and benefits covers the certificate process in detail.

Double tax treaties set the tie-breaker

Georgia has double tax treaties with many European countries. When two states both claim you as resident, the treaty applies a fixed order of tests:

  • Permanent home: where you have housing continuously available

  • Centre of vital interests: where your family, bank and social ties sit

  • Habitual abode: where you actually spend more time

  • Nationality: the last resort if the other tests tie

Your home tax office will ask for evidence. Keep it organised from month one.

Evidence that supports a Georgian residency claim

  • Residency certificate issued by the Revenue Service

  • Long-term lease in your own name

  • Georgian bank statements showing daily spending

  • Passport stamps or travel records for every entry and exit

Employment income is not IE turnover

Interim CFOs and long-term contract controllers face a specific risk. If one client sets your hours, supplies your laptop and directs your work, your home authority may call it disguised employment. That income then falls outside the IE regime entirely.

Local employment carries a separate structural rule. A salary from a Georgian employer has 20% personal income tax withheld, not 1%. You can hold an IE and a job at the same time, but the two income streams never mix.

How to Set Up a Georgia IE as an Accountant, Step by Step

Registration itself usually completes in one business day. The full setup, including bank accounts and status approval, typically takes 5-10 business days if you are in Tbilisi. For a fuller walkthrough of the registration mechanics, see our IE small business status guide.

Step 1: Register the IE at the Public Service Hall

You file with the National Agency of Public Registry through a Public Service Hall or the House of Justice. Bring these items:

  • Passport: a foreign passport is enough, with no apostille needed for this step

  • Georgian legal address: a lease or a leased business address

  • Activity description: worded accurately, for example bookkeeping services or financial consulting

  • Registration fee: confirm the current amount at the Public Service Hall before you go

Word your activity carefully. If you describe a licensed activity such as statutory audit, you create the status problem Part 1 described. Describe the work you actually invoice.

Step 2: Apply for small business status on rs.ge

Registration gives you a tax identification number. Small business status does not come automatically. You apply through your rs.ge cabinet after registration, and approval typically follows within a few business days.

Until status is granted, standard personal income tax rules apply to your business income. Do not issue large invoices in the gap. Wait for the confirmation in your rs.ge account.

Step 3: Open IE bank accounts

Georgian banks open separate accounts for your IE, distinct from your personal accounts. Most foreign founders hold a GEL account plus a EUR or USD account. Some banks still ask you to appear in person for the first meeting, so check before you book flights.

If you cannot travel, read our page on opening a bank account in Georgia online. Client payments should go only to the IE account. Mixing personal and business receipts makes your turnover record harder to defend.

Step 4: Set up invoicing and the monthly declaration

A Ukrainian bookkeeper billing three German clients 4,000 EUR per month shows how this works. Each payment counts as turnover in GEL at the National Bank of Georgia rate on the day it arrives. She declares and pays 1% of that GEL figure by the 15th of the following month.

Build these habits from the first invoice:

  • Invoice register: date, client, currency amount and GEL equivalent

  • NBG rate log: the official rate for each receipt date

  • Zero declarations: file every month, even with no income

  • Calendar reminder: set it for the 10th to leave a buffer

Our overview of Georgia monthly and annual tax deadlines lists the full filing calendar.

The gap looks decisive on a pure tax basis. For a solo accountant with low expenses who spends what she earns, it is. The LLC wins only when its specific features matter to you.

When the LLC math overtakes the IE

Georgia taxes LLC profit only when you distribute it. That model is explained in our corporate income tax guide. Three situations shift the balance toward the company:

  • Reinvestment: you keep most profit inside to fund software, staff or acquisitions

  • High costs: subcontractors and tools eat a large share of revenue, which the IE ignores

  • Turnover above the cap: you regularly exceed the small business threshold, so the 1% stops applying to the excess

A Kyiv-born fractional CFO collective is a typical case. It bills 900,000 EUR a year, pays four subcontractors and reinvests heavily. Here the LLC's untaxed retained profit beats a turnover tax on every euro.

The hidden cost of switching later

There is no legal conversion from an IE into an LLC in Georgia. You register a new company, open new bank accounts and re-sign every client contract. Large clients may also run fresh supplier onboarding, which can take weeks.

Plan the move before you need it. If you expect to cross the cap within 18 months, starting with an LLC can be cheaper than migrating mid-engagement. Use the [LLC opening service](https://www.gegidze.com/opening-a-llc-business-in-Georgia Country) page to compare setup requirements side by side.

Frequently Asked Questions

The 1% rate does not apply to the excess. Historically the rate on the amount above the threshold has risen to 3%, and status can be lost if you exceed the cap in consecutive years. Confirm the current threshold and excess rate on rs.ge before planning around them.

No. Small business status taxes gross turnover, so a 300 EUR monthly Xero or Power BI bill does not reduce the 1%. If your tools and subcontractors exceed roughly a fifth of revenue, run the LLC comparison again.

VAT registration becomes mandatory once taxable turnover crosses a set amount over any 12-month period. Check the current figure on rs.ge. Many B2B services supplied to foreign business clients are treated as supplied outside Georgia, so they may not count toward it. Get the place-of-supply analysis done once, in writing, before you assume.

Yes. An IE can employ staff while keeping small business status. You withhold 20% personal income tax from salaries and handle pension contributions through monthly payroll declarations. The 1% still covers only your own business turnover.

Late filing and late payment trigger fines plus daily interest on unpaid tax. The amounts are revised periodically, so check rs.ge for current figures. Repeated failures also give the Revenue Service grounds to review your status, which costs far more than any single fine.

The IE stays valid wherever you are. You file online through rs.ge from any country. Your residency position changes with your days, though, so six months in Lisbon may make Portugal your tax home even with an active Georgian IE.

Not automatically. A single long contract raises disguised-employment risk under both structures, because the test looks at control and dependency, not the legal form. Diversifying to at least two or three clients protects you more than changing structure.
