Georgia Business Register Certificate: How to Get an Extract

A Georgia business register certificate is an official extract from the company registry of Georgia (the country). The National Agency of Public Registry (NAPR) keeps that registry and issues the extract. You can view and print a current extract online at napr.gov.ge in minutes. For use abroad, order a certified copy at a Public Service Hall and add an apostille.

Most founders first need this document within weeks of company registration in Georgia. Take a Polish developer who registers an LLC in Tbilisi in March. By April, her Georgian bank, a German client and her home tax office may all ask for proof the company exists. Each of them may want a different version of the extract.

The extract reflects the registry at the moment you print it. A director change or a new shareholder makes yesterday's printout outdated. If you have not set up the company yet, start with our full guide on how to register a company in Georgia.

What the Georgia Business Register Certificate Shows

Every Georgian legal entity receives an identification code of nine digits at registration. That same code works as its tax ID with the Revenue Service (rs.ge). The extract is the public record tied to that code.

One Document, Several Names

People use different labels for the same record. Banks say "registry extract." Foreign lawyers say "certificate of good standing" or "certificate of incorporation." In Georgian, it is the "amonatseri," which means extract.

Georgia does not issue a separate certificate of good standing. When a foreign party asks for one, the NAPR extract is what you provide. Explain this early to save a week of back and forth.

Data Fields on the Extract

A standard extract lists the core facts of the entity:

  • Legal name in Georgian, often with a Latin transliteration

  • Legal form, such as LLC or Individual Entrepreneur

  • Identification code and registration date

  • Legal address registered in Georgia

  • Directors and their representation powers

  • Partners and their ownership shares

  • Status, including liquidation or reorganisation

  • Encumbrances, such as tax liens or seizures on the entity

What the Extract Does Not Prove

The extract confirms existence and structure. It says nothing about tax compliance or special regimes.

  • Virtual Zone status comes with its own certificate from the Ministry of Finance

  • Tax residency requires a separate certificate from rs.ge

  • Tax debt clearance needs a separate request through rs.ge

A virtual zone it company applying for a foreign contract often needs both the extract and the status certificate. One without the other leaves the client's compliance team asking questions.

How to Get an Extract Online or in Person

The online route takes about five minutes if you know the company's identification code. The in-person route adds a stamp, a signature and an apostille option. Pick based on who will read the document.

Online at napr.gov.ge

The NAPR website has a public search for entrepreneurs and legal entities. You search by name or identification code, open the record, and download the extract as a PDF.

  • Search by ID code, because names in Latin script vary

  • Download the latest extract, not an archived one

  • Check the print date on the document before sending

Anyone can pull this record, including your clients and suppliers. Many Georgian counterparties check the registry themselves before signing a contract.

At a Public Service Hall

Public Service Halls, the House of Justice network, issue certified extracts on paper. Tbilisi has several branches, and other large cities like Batumi and Kutaisi have their own.

Service Tiers

NAPR offers standard and accelerated service. Faster turnaround costs more. Fees change periodically, so confirm the current price list at the Public Service Hall before you go.

Language

The registry record is kept in Georgian. Ask whether an English version is available for your request. Otherwise, attach a notarised translation for foreign use.

Ordering Remotely Through a Representative

You do not need to fly to Tbilisi for a certified extract. A representative holding your power of attorney can request, collect and apostille it for you.

Consider a Canadian founder based in Lisbon. His Portuguese bank wants an apostilled extract within 5 business days. A Tbilisi representative files the request on day 1, collects the apostilled copy within the week, and couriers it to Lisbon.

This is the same route used for remote georgia llc registration. Your POA must itself be notarised and apostilled in your home country first. Our guide to apostille and notary legalization in Georgia covers that step.

When the Free Version Is Enough

Most local tasks accept the electronic extract. Georgian banks usually pull the registry record themselves during account opening. If you are opening a bank account in Georgia online, you rarely need a paper copy.

Foreign clients increasingly accept the PDF too. A Dutch agency vetting a Georgian virtual zone llc as a supplier often just needs the ID code. Their team can verify the record directly on napr.gov.ge.

When Not to Order an Apostille Yet

An apostilled extract freezes the registry at one moment. Changes after that date make it outdated for most recipients.

Delay the certified copy in these situations:

  • Pending director change, because the new extract will show different signatories

  • Share transfer in progress, since ownership fields will change within days

  • Address change filed, as the legal address must match your contracts

  • Unconfirmed recipient rules, because some foreign banks accept only extracts issued within a recent window

A founder who apostilles an extract on Monday, then files a director change on Wednesday, pays twice. Finish the registry change first, then order the certified copy. Ask the recipient how recent the extract must be before you request it.

Who Asks for the Extract and What They Check

A Tallinn-based payment processor, a Georgian bank, and a Dubai free-zone partner can all request the same Georgia business register certificate. Each reads it for a different reason. Knowing what each recipient checks helps you order the right version the first time.

Banks and Payment Providers

Banks use the extract to confirm who controls the company. Their compliance team compares three fields against your KYC file:

  • Directors, who must match the people signing the account forms

  • Partners and share percentages, which feed the beneficial ownership check

  • Registration status, which must show the company as active

A Georgian bank can verify your company directly in the register, so it rarely asks you for a printed copy. A foreign bank cannot do that easily. It usually wants a certified, apostilled extract with a translation. If you plan to open a local account, see our guide to opening a bank account in Georgia online.

Foreign Counterparties and Tenders

Corporate clients abroad often request the extract during supplier onboarding. Their procurement teams want proof that your company exists and that the person signing the contract has authority.

A German software buyer onboarding a Georgian LLC typically checks the director field against the contract signatory. A mismatch can stall a signed deal for 2-3 weeks while legal teams exchange emails. Public tenders tend to be stricter, with fixed formats and recent-issue requirements written into the tender rules.

Immigration and Residency Files

Founders applying for a Georgian residence permit on business grounds often attach the extract. It links the applicant to the company as partner or director. Immigration officers check that your name and role appear exactly as in your passport, so transliteration errors in the register can cause problems.

How to Correct or Update Register Data Before Ordering

  1. Download the current electronic extract and check every field.

  2. Prepare a partners' decision or application describing the change.

  3. Verify the signatures of the people filing the change.

  4. File the change with the House of Justice or NAPR.

  5. Pay the registration fee for your chosen speed.

  6. Download the updated extract and recheck it.

An outdated extract is the most common reason a bank or partner rejects a Georgian company file. Fixing the register first saves you from paying for certification twice.

Spotting Errors Worth Fixing

Read your extract field by field before any certified copy goes abroad. These issues cause the most rejections:

  • Name spelling that differs from the passport transliteration

  • Old legal address after you moved offices or changed address providers

  • Former director still listed after an informal handover

  • Share split that no longer reflects a completed buyout

A Ukrainian founder who registered in 2022 with one transliteration and renewed a passport with another faces this often. The bank sees two spellings and asks for an explanation. Correcting the register entry removes the question entirely.

Filing the Change

Most changes require a decision signed by the partners and an application signed by an authorised person. The signatures must be verified, either at a Public Service Hall in person or by a notary.

If You Live Abroad

Founders outside Georgia have two common routes:

  • Foreign notary plus apostille, after which the document is translated and filed in Georgia

  • Power of attorney to a Georgian representative, who signs and files locally

The power of attorney itself must be notarised and apostilled in your country. Our guide to the apostille and notary legalization process in Georgia explains the document chain.

Registration Speed

NAPR has historically processed standard change filings within about 1 business day, with a faster paid option. Confirm current timelines and fees on napr.gov.ge before planning around them. Once the change is registered, the updated electronic extract becomes available immediately.

How Long an Extract Stays Valid

The extract has no fixed legal expiry in Georgia. It reflects the register on the date it was generated. Recipients set their own rules instead.

Common patterns observed among foreign recipients include:

  • Banks, which frequently ask for extracts issued within the last 3 months

  • Courts and notaries, which may want an extract dated within days of the filing

  • Commercial partners, which often accept any recent copy matching current data

A Kazakh founder who ordered an apostilled extract in January for a Lithuanian bank in May will likely need a new one. Ask the recipient for its exact window before you order.

When a Certified Extract Is the Wrong Choice

Paying for apostille and translation makes no sense in several situations. Skip the certified route if:

  • The recipient is Georgian, since local institutions read the register directly

  • The partner only needs proof of existence, where a register link or PDF works

  • Your company data will change soon, such as a planned share sale next month

  • The recipient has not stated its format, because guessing often means ordering twice

Founders running a Virtual Zone LLC with foreign clients sometimes apostille an extract for every new client by habit. Most clients accept the electronic version. Keep one certified copy on file for banks and courts, and send electronic extracts everywhere else.

Frequently Asked Questions

Yes. The Georgian register is public, so any person can search your company by name or identification code and download the electronic extract. This is why foreign partners can verify you without asking. Keep your register data accurate, because clients and competitors can see it too.

No. The register extract shows legal and ownership data only. Proof of tax standing comes from a separate tax status certificate issued through the Revenue Service on rs.ge. Tenders and some banks ask for both, so order them together when a file requires a clean tax record. Our tax accounting and bookkeeping services page covers keeping filings current.

The recipient will need a certified translation. In Georgia, a translator produces the translation and a notary certifies the translator's signature. If the extract also needs an apostille, apostille the original first and translate the full package afterwards, including the apostille page.

Yes. The register keeps the record after liquidation, and the extract shows the changed status. You can also request records of historical entries, such as former directors or past addresses. These are useful in disputes or audits covering earlier years.

Yes. An Individual Entrepreneur is registered in the same entrepreneurs register and receives an extract in a similar format. It names the individual rather than partners and shares. Banks abroad sometimes question an IE extract because it shows no corporate structure, so be ready to explain the status. See our IE registration services for details.

Yes. Because the register is public, a representative can request a paper or apostilled extract at a Public Service Hall without special authority in most cases. A power of attorney becomes necessary when the representative must sign filings or change data on your behalf. Clarify which task you need before preparing documents abroad.

Contact NAPR with the original registration documents that show the correct data. Errors made during registration can usually be corrected through an application referencing the filed documents. Allow a few business days and download a fresh extract before sending any copy to a bank or partner.
